SlateGrid terms and conditions
These Terms of Service govern your access to and use of the SlateGrid platform. By creating an account, purchasing a membership, or otherwise using SlateGrid, you agree to these terms and to our Privacy Policy.
1. About SlateGrid
SlateGrid provides software to help clubs manage memberships, events, and payments. Our services are offered by SlateGrid (ABN coming soon), based in Adelaide, South Australia. References to “we”, “us”, or “our” mean SlateGrid. “You” refers to the club, administrator, or member using the platform.
2. Eligibility and accounts
- To administer a workspace, you must be at least 18 years old or have approval from your club or parent organisation.
- You are responsible for keeping your login credentials secure. Use strong passwords and enable WebAuthn where available.
- Administrators must ensure the information imported into SlateGrid is accurate and that member data is collected lawfully.
3. Your responsibilities
Clubs and administrators agree to:
- Comply with all applicable Australian laws, including privacy, spam, marketing, and fundraising regulations.
- Obtain any consents required before collecting personal or sensitive information from members.
- Use SlateGrid only for legitimate club administration. You must not misuse the service, attempt unauthorised access, or transmit malware.
- Ensure any custom membership questions comply with university or governing body policies.
4. Payments
- Payments are processed via Stripe. Clubs must maintain an active Stripe account compliant with Stripe’s terms and Australian financial regulations.
- Platform and payment processing fees are automatically deducted according to the selling fee option you choose.
- Clubs are responsible for issuing refunds to members. SlateGrid exposes the tools to refund through Stripe but does not hold funds on your behalf.
If Stripe or another payment partner suspends your account, we may suspend the payment functionality in SlateGrid until the issue is resolved.
5. Data ownership
Clubs retain ownership of their membership data. SlateGrid is granted a licence to host, copy, and process information solely to provide the service. We may generate aggregated, anonymised analytics to improve the product, but we do not sell or share identifiable information with third parties for advertising.
6. Availability and support
SlateGrid aims for high availability but does not guarantee uninterrupted service. Planned maintenance and unscheduled outages may occur. We provide support via email (hello@slategrid.app) and office hours, and we target same-day responses during Australian business hours.
7. Acceptable use
You must not:
- Use SlateGrid for unlawful or discriminatory conduct.
- Reverse engineer, decompile, or exploit the platform beyond its intended use.
- Send unsolicited commercial electronic messages in breach of the Spam Act 2003 (Cth).
- Upload content that infringes intellectual property rights or contains malicious code.
8. Warranties and disclaimers
To the extent permitted by Australian law, SlateGrid is provided “as is”. We exclude all implied warranties, including merchantability and fitness for a particular purpose. Nothing in these terms limits rights or guarantees that cannot be excluded under the Australian Consumer Law.
Clubs are responsible for complying with university rules, association constitution requirements, and any other obligations that apply to their activities.
9. Limitation of liability
To the maximum extent permitted by law, SlateGrid is not liable for indirect, incidental, consequential, or special damages, or for lost profits or revenues. Our aggregate liability arising from or relating to the service is capped at the fees you paid to SlateGrid in the 12 months preceding the claim.
10. Suspension and termination
We may suspend or terminate access if a club breaches these terms, uses the service unlawfully, or poses a security risk. Clubs may close their workspace at any time by contacting us. On termination we will provide club administrators with a reasonable opportunity to export data.
11. Changes to these terms
We may update these terms from time to time. When changes are material we will provide notice via email or in-product alerts at least 14 days before the new terms take effect. Continued use of SlateGrid after the effective date constitutes acceptance of the updated terms.
12. Governing law
These terms are governed by the laws of South Australia, Australia. The parties submit to the exclusive jurisdiction of the courts of South Australia and the Commonwealth courts of Australia.
